Cohesion End User Terms of Use

This COHESION Application is a mobile-based platform for people to communicate, advise, assist and report to others. Those communicating through COHESION may do it to share their needs, suggested solutions, thoughts, or any other information, as well as unusual, significant, or exciting events. COHESION is a free-of-cost app.

The information a User shares with other COHESION Users will become public; therefore, it is critical that any use of COHESION will be for lawful purposes and that the shared information will be of public nature.

Any use of COHESION is subject to the below Terms of Use.

1) User’s Acknowledgment and Acceptance of Terms

SoRND (referred to as "Company," "SoRND," "us," or "we”), an Israeli Company, provides a programmed application platform of COHESION (the "Application") and various related services, subject to your compliance with all the terms, conditions, and notices contained or referenced herein (the “Terms of Use" or "TOU"), and subject to any other written agreement between End User (referred to as "You," "Your," or "End User”) and us. When using services on this Application, you shall be subject to any posted guidelines or rules that may contain terms and conditions in addition to those in these Terms of Use. All such guidelines or rules are hereby incorporated by reference into these Terms of Use.

BY USING THIS APPLICATION, YOU ACCEPT THESE TERMS OF USE. IF YOU DO NOT ACCEPT THESE TERMS OF USE, PLEASE EXIT THIS APPLICATION NOW. YOUR REMEDY FOR DISSATISFACTION WITH THIS APPLICATION, OR ANY SERVICES OR GOODS AVAILABLE ON OR THROUGH THIS APPLICATION, IS TO STOP USING THIS APPLICATION AND/OR THOSE PARTICULAR SERVICES. YOUR AGREEMENT WITH US REGARDING COMPLIANCE WITH THESE TERMS OF USE BECOMES EFFECTIVE IMMEDIATELY UPON COMMENCEMENT OF YOUR USE OF THIS APPLICATION.

These Terms of Use are practical as of 23.09.22. These Terms of Use were written in English (US). To the extent that any translated version of these Terms of Use conflicts with this English (US) version, this English (US) version controls.

2) Definitions

These will constitute definitions in these Terms of Use:

  • "User(s)" is defined as you and anyone who uses the Application. A User's use can include but is not limited to reading, browsing, or viewing content, ordering services or goods, making a payment, or transferring information.
  • “You,” “your,” and “yourself” shall include references to the party reading, acknowledging, and agreeing to these TOU, including User.
  • "Group" is defined as you and other users organized through the Application as a closed community. Users not part of a Group will not be exposed to the communications of a Group made through the Application.
  • “SoRND,” “we,” “us,” and “our” shall include references to SoRND, whose address is Hativat Harel 159, Karmiel, Israel.
  • “Affiliate(s)” shall refer to entities controlled by, controlling, or under common control with SoRND, including our owners, parent companies, subsidiaries, affiliated companies, officers, directors, suppliers, partners, agents, sponsors, advertisers, and employees, and includes (without limitation) all parties involved in creating, producing, conducting and/or delivering this App and/or its Services.
  • "Platform," "COHESION," "Application," and "App" shall refer to SoRND's mobile-based Application platform.
  • “Service(s)” shall include services available by COHESION, but not limited to Users, and shall include providing a platform for Users to share Content publicly and to communicate with others.
  • “Content” shall include any documents, information, communication, advertisement, software, photo, video, graphics (including illustrations, images, drawings, logos), music, sound, text, and other material that Users upload and\or view on the Platform.
  • "User Profile" shall include all content a User includes in its profile.
  • “Device” shall include references to an electronic device (e.g., personal computer or mobile device) enabling the User to use the Platform or Services or other communications with the SoRND or its Affiliates.
  • "Metadata" shall include technical data associated with User Content, which can, among others, describe how, when, and by whom a piece of Content was created, collected, modified, and how that Content is formatted.
  • "Chat" shall include direct communication between Users through the Application. The Chat will be exposed to other User

You are solely responsible for providing, at your own expense, all equipment necessary to use this Application and our Services, including a computer and modem, mobile devices and mobile applications (including those needed to send text, SMS, and MMS messages), and your Internet access (including payment of telephone service fees associated with such access).

We reserve the sole right to modify or discontinue this Application, as well as services or goods, at any time, with or without notice. We shall not be liable to you or any third party for any claims or damages arising from or relating to our exercise of such right. Modifications may include but are not limited to changes in the pricing structure, the addition or removal of fee-based services, or changes to limitations on allowable file sizes. Any new features that augment or enhance the then-current services on this Application shall also be subject to these Terms of Use.

You understand and agree that temporary interruptions of this Application, including scheduled maintenance or upgrades for emergency repairs, or failure of telecommunications links or equipment, may occur. You further understand and agree that we have no control over third-party networks you may access in this Application's use. Therefore, delays and disruptions of other network transmissions are beyond our control. We shall not be liable to you or any third party for any claims or damages arising from or relating to such interruptions, delays, or disruptions.

In addition to any excuse provided by applicable law, we shall be excused from liability for non-delivery or delay in delivery of Services available through our Application, arising from any event beyond our reasonable control, whether or not foreseeable by either party, including but not limited to, labor disturbance, war, fire, accident, pandemic, adverse weather, inability to secure transportation, governmental act or regulation, and other causes or events beyond our reasonable control, whether or not similar to those which are enumerated above.

We are not responsible for the Content published through the Application or for the Application use purposes by You or others. Nevertheless, all content you publish through the Application should be legitimate and free of any legal restrictions that may phorid the Content publication. You are not allowed to use the Application for any purpose that is not honest, legitimate, and legal.

You understand and agree that this Application is provided "AS IS," "AS AVAILABLE," and "WITH ALL FAULTS" and that we assume no responsibility for the timeliness, deletion, delivery, wrong delivery, storage, or failure to store any of Your Content (defined below).

3) Conduct on Application

If you are under the age of 18, if your use of the Application was not approved by your legal guardian and done by its supervision you will only be able to connect anonymously through the application with emergency officials, and may not access or use the Chat or Group services on the Application. We cannot verify a user’s age or legal guardian approval and supervision, but if the foregoing requirement is violated, we reserve the right to discontinue your access to and use of the Application with or without notice to you.

You agree to use the Application only for lawful purposes. You are solely responsible for knowing and adhering to any laws, statutes, rules, and regulations of using this Application.

By accessing or using this Application, you agree that you will not use this Application to commit a criminal offense or to encourage others to engage in any conduct that would constitute a criminal offense.

We neither endorse nor assume any liability for the Content uploaded or submitted by You or other Application Users. We generally do not pre-screen, monitor, or edit the content posted by Users of our Application. However, we have the right at our sole discretion to block or remove any Content that, in our judgment, does not comply with these TOU or is otherwise harmful, objectionable, or inaccurate. We are not responsible for any failure or delay in removing such Content. You hereby agree to such removal and waive any claim against us arising from such removal of content.

Not all areas of this Application may be available to all.

Users who violate systems or network security may incur criminal or civil liability.

We prohibit crawling, scraping, caching, or otherwise accessing any content on this Application via automated means, except as the result of standard search engines or technologies used by a search engine with our express consent.

You agree that we may, at any time, and sole discretion, terminate Your access or use of the Application without prior notice to You for violating any of the above provisions. Also, You acknowledge that We may cooperate fully with systems or network security violations investigations, including cooperating with law enforcement authorities in investigating suspected criminal violations.

4) Your Consent

To access Application services, You will have to complete the consent process and give Your approval to these TOU and the Privacy Policy. You understand and agree that we reserve the sole right to grant Users limited access to and use of the Application and our Services. Nevertheless, these Terms of Use also apply to Users granted even limited access to the Application or the use of the Application limited services.

5) Registration

A complete registration process conditions your application use as per the Application instructions. Your registration information will be part of Your User Profile that becomes public.

Through the registration process, you will set a login and a password, which are both confidential, and should be protected by you. We will not be liable to you or any third party for any damage caused by the prohibited use of your login or password.

You may use the application anonymously, without completing the registration process, but although these TOU will bind you without restrictions, you will not be able to use all application Services.

6) No Fees

We will charge no fees for your Application use. Nevertheless, you may be charged by third parties for their services or products, such as cellular and connectivity services companies.

7) The Services

We developed COHESION to give you the value of communicating quickly, easily, and accurately with others. To give you that kind of Service, we will allow Users to choose default text of subjects, questions, and answers to be published through the Application, with the User's Content added to other Users.

Services do not include any monitoring or supervision for a current communicating purpose, but per our Privacy Policy, we may monitor the communication to improve the default text of subjects, questions, and answers to be published through the Application.

Nevertheless, per our discretion, we may inform officials of any shred of Content that we believe may assist in saving life, property, or any worthy value.

The Defaults To give You the opportunity to communicate efficiently, we will set default options to communicate with other Users. We wish you to use these default options at your own convenience.

Chat The Chat Service enables one-to-one communication. Even though you may use free text through Chat, its length and time will be limited. The Chat will be erased and deleted after a period, which will be concluded in a few minutes, as we may decide at our discretion and may be changed rapidly.

Group You will become part of a Group per two cumulative conditions: you chose a default subject as interesting for you, and your current geographic distance from another Group member is less then determined by us, therefor your other group members will be changed as you travel. You will be able to send and receive notifications from other Group members, as well as communicate by Chat.

8) User Content

We expect your use of COHESION will be for good and honest purposes. You should completely avoid uploading any content to COHESION that may be offensive, illegal, infringe others' intellectual property or copyrights, cause damage, hurt others' feelings or infringe others' rights ("Unlawful Content"). We are not obligated to sort or check the User's uploaded Content, but we reserve the right to remove any User that may use COHESION for Unlawful or not honest reasons.

Note that our Services do not include, and we are not obligated to save or process any Content for any period. If you upload Content that is important to you, we recommend that you will save it by your own means.

Please consider that uploaded Content will become public as soon you upload it, and although we phorid and condemn that, it may be used by others for unlawful or not honest use. We are not responsible for any use of Content uploaded to the Application.

Per your own discretion, You may share Content through COHESION, with all application Users, to a Group or specific User through a Chat. Nevertheless, your User Profile, as built by you through the Application, will be public.

While you retain rights to your personal information, you grant us and our Affiliates and designated licensees a nonexclusive, perpetual, and worldwide right to use and process your Content for the purposes described by these Terms of Use and our Privacy Policy, regardless of the form or medium (now known or not currently known) in which it is used. We will implement strict information security policies per our procedures and applicable law.

We consider it extremely important to keep your Personal Information private, therefor we will encourage the SDP (but we will not be responsible) to handle your Personal Information and use and process it according to our Privacy Policy published on this Application and any applicable law.

9) Third-Party Applications and Information

This Application may link you to Other Applications on the Internet or otherwise include a reference to other third parties' information (hereinafter "External Links"). These External Links are not controlled by us and may contain information that some people may find incorrect, inappropriate, or offensive.

You acknowledge that we are not responsible for the accuracy, copyright compliance, legality, decency, or any other aspect of the Information of such External Links, nor are we responsible for errors or omissions in any references to other parties, their products, and services. The inclusion of such External Links or references is provided merely as a convenience. It does not imply endorsement of, or association with, the External Links by us or any warranty of any kind, either express or implied.

We do not undertake that External Links will lead to an active website, their reliability, correctness, or compliance with the law's requirements. We are not a party to any contract between you and with any External Links publishers and will not be liable for any debt due to damage, expense or loss caused or were allegedly caused in connection with third parties or External Links.

You must comply with third-party agreement terms that apply to you when using the App, such as your telecommunications subscription agreement.

Google Maps The Application uses and includes Google Maps features and content. Your use of the Application and Google Maps application features and content is subject to the then-current versions of the: (1) Google Maps/Google Earth Additional Terms of Service at https://maps.google.com/help/terms_maps.html; and (2) Google Privacy Policy at https://www.google.com/policies/privacy/.

Apple If you use an apple device, then in addition to the other Terms, and notwithstanding anything to the contrary herein, this provision applies with respect to your use of any version of the App compatible with the iOS operating system of Apple Inc. (“Apple”).

Apple is not a party to these Terms and does not own and is not responsible for the App. Apple is not providing any warranty for the App except, if applicable, to refund its purchase price. Apple is not responsible for maintenance or other support services for the App and shall not be responsible for any other claims, losses, liabilities, damages, costs, or expenses with respect to the App, including any third-party product liability claims, claims that the App fails to conform to any applicable legal or regulatory requirement, claims to arise under consumer protection or similar legislation, and claims concerning intellectual property infringement.

Any inquiries or complaints relating to the use of the App, including those pertaining to intellectual property rights, must be directed to us using the details below.

The license we have granted you in these Terms of Use is limited to a non-transferable license to use the App on an Apple-branded product that runs Apple's iOS operating system and is owned or controlled by you or as otherwise permitted by the Usage Rules outlined in Apple Media Service Terms and Conditions.

Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance of these Terms, will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof. Notwithstanding the foregoing, our right to enter into, rescind, or terminate any variation, waiver, or settlement under these Terms is not subject to the consent of any third party.

10) Advertising content

You authorize us to bring to your attention any content, marketing, and various recommendations that some may consider as Advertising Content (hereinafter: "Advertising Content") and that we believe you may find interest in. We may share with you Advertising Content via e-mail, SMS, MMS, push notification, and/or during Your use of our Services, either directly or through a third party.

At any time, you may request us to stop bringing to your attention Advertising Content by e-mail or using dedicated tools that will accompany the Advertising Content.

Note that none of the Advertising Content constitutes our recommendation or encouragement in purchasing services, assets, or products.

11) Use of Application and Storage of content

You acknowledge that we may establish general practices and limits concerning the use of the Services on the Application, including, without limitation, the maximum number of days that uploaded Content will be retained on the Application, the maximum disk space that will be allotted, or our servers on your behalf, and the maximum number of times (and the maximum duration for which) you may access the Services in a given period.

You agree that we have no responsibility or liability for the deletion or failure to store any Content maintained or transmitted on or through this Application. You acknowledge that we reserve the right to change these general practices and limits at any time, in our sole discretion.

12) Intellectual Property

By accepting these Terms of Use, you acknowledge and agree that all content presented to you on this Application is protected by copyrights, trademarks, service marks, patents, or other proprietary rights and laws, and is the sole property of SORND and/or its Affiliates. You are permitted to use such Content only for your personal observation. You will not remove, alter or conceal any copyright, trademark, service mark, or other proprietary rights notices incorporated in or accompanying this Application without prior written permission from us. You may not copy, reproduce, modify, republish, upload, post, transmit, or distribute content from this Application in any form or by any means without prior written permission from us. Any unauthorized use of the content appearing on this Application may violate copyright, trademark, and other applicable laws and may result in criminal or civil penalties.

The “Cohesion” and “SoRND” names and logos are our trademarks, and may not be copied, imitated, or used, in whole or in part, without our prior written permission. All custom graphics, icons, logos, and service names are registered trademarks, trademarks, or service marks of Cohesion or its Affiliates. Nothing in these Terms of Use grants you any right to use any trademark, service mark, logo, and/or the name of Cohesion or its Affiliates. All page headers, custom graphics, button icons, and scripts are our service marks, trademarks, and/or trade dress, and may not be copied, imitated, or used, in whole or in part, without our prior written permission.

We respect the intellectual property of others, and we ask you to do the same. Suppose you believe that your or any other copyright, trademark, or other property rights have been infringed by content on this Application. In that case, you are requested to send us an e-mail notification immediately.

You may not copy, reproduce, modify, republish, upload, post, transmit, or distribute content by this Application if you do not have the legal right to do so, and you may not infringe third parties' privacy, copyright, or any other legitimate rights during your use of this Application.

13) Disclaimer of Warranties

ALL CONTENT, SERVICES, AND GOODS IN THIS APPLICATION ARE PROVIDED, DISTRIBUTED, TRANSMITTED, AND MADE AVAILABLE ON AN "AS IS," "AS AVAILABLE" AND "WITH ALL FAULTS."

ALL CONTENT, SERVICES, AND GOODS IN THIS APPLICATION PROVIDED BASIS TO THE FULLEST EXTENT PERMISSIBLE BY LAW, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE WARRANTY OF TITLE, THE WARRANTY OF NON-INFRINGEMENT, OR THE IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

WITHOUT LIMITING THE FOREGOING, WE MAKE NO WARRANTY THAT THIS APPLICATION, CONTENT, SERVICES, OR GOODS WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; WILL BE UNINTERRUPTED, TIMELY, SECURE, OR FREE FROM MISTAKES, ERRORS, DEFECTS, OR COMPUTER VIRUSES; WILL BE EFFECTIVE, ACCURATE, OR RELIABLE.

This Application could include technical or other mistakes, inaccuracies, or typographical errors. We may make changes to the content, goods, and services at this Application, including the prices and descriptions, at any time without notice. The content, goods, and services at this Application may be out of date, and we do not commit to updating such content, goods, and services.

THE USE OF THIS APPLICATION, CONTENT, SERVICES, AND GOODS, IS DONE AT YOUR DISCRETION AND RISK AND WITH YOUR AGREEMENT THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY LOSS, DAMAGE, OR INJURY.

Through your use of the Application, you may have the opportunities to engage in transactions with other Users and/or third parties. We make no warranty regarding any transactions executed through or in connection with this Application, and you understand and agree that such transactions are conducted entirely at your own risk.

We or our Affiliates do not warrant any content, goods, or services of a third party available on or through the Application. Content available through this Application may represent the opinions and judgments of an information provider, User, or other person or entity not connected with us. We do not endorse, nor are we responsible for the accuracy or reliability of, any opinion, advice, or statement made by anyone other than an authorized SoRND spokesperson speaking in their official capacity.

14) Limitation of Liability; Waiver

IN NO EVENT SHALL WE OR OUR AFFILIATES BE LIABLE TO YOU OR ANY OTHER USER OR THIRD PARTY FOR ANY DAMAGES, LOSSES, INJURIES OR EXPENSES OF ANY KIND (INCLUDING, WITHOUT LIMITATION, SPECIAL, PUNITIVE, EXEMPLARY, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES, PERSONAL INJURY OR DEATH, OR ANY LOSS, DAMAGE, INJURY OR EXPENSE ARISING OUT OF YOUR USE OF THIS APPLICATION OR RESULTING FROM THE LOSS OF USE, DATA, GOODWILL OR PROFITS), ON ANY THEORY OF LIABILITY (WHETHER IN CONTRACT, NEGLIGENCE, STRICT LIABILITY, TORT, OR OTHERWISE), WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, LOSSES OR INJURIES, OR EXPENSES, DIRECTLY OR INDEIRECTLY ARISING OUT OF OR RELATING TO (A) THE USE OF, THE INABILITY TO USE, THE PERFORMANCE OR THE NON-PERFORMANCE OF THIS APPLICATION, (B) YOUR PERSONAL INFORMATION ON THIS APPLICATION; (C) ANY USER OR A THIRD-PARTY CONTENT ON THIS APPLICATION; (D) ANY ERRORS OR OMISSIONS IN THIS APPLICATION’S OPERATION; (E) ANY ACTION TAKEN IN CONNECTION WITH COPYRIGHT OR OTHER INTELLECTUAL PROPERTY OWNERS; (F) ANY DAMAGE TO YOUR OR ANY THIRD-PARTY’S COMPUTER, MOBILE DEVICE, OR OTHER EQUIPMENT OR TECHNOLOGY, INCLUDING DAMAGE FROM ANY SECURITY BREACH OR FROM ANY COMPUTER VIRUS, BUG, TAMPERING, FRAUD, ERROR, OMISSION, INTERRUPTION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER LINE OR NETWORK FAILURE OR ANY OTHER TECHNICAL OR OTHER MALFUNCTION; (G) ANY USE OR ACTION MADE BY YOU WHILE RELYING INFORMATION OR CONTENT AVAILBLE IN THE APPLICATION.

SOME JURISDICTIONS PROHIBIT THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

IN NO EVENT SHALL WE OR OUR AFFILIATES BE LIABLE TO YOU FOR THIRD-PARTY GOODS OR SERVICES OFFERED BY US OR THROUGH THIS APPLICATION OR FOR COMMERCIAL TRANSACTIONS CONDUCTED THROUGH THIS APPLICATION, INCLUDING WITHOUT LIMITATION PROCESSING OF ORDERS, SALES, OR PURCHASES OF USER OR THIRD-PARTY GOODS OR SERVICES.

YOU RELEASE US AND OUR AFFILIATES FROM ANY CLAIMS FOR DAMAGES, LOSSES, INJURIES, OR EXPENSES, KNOWN AND UNKNOWN, DIRECTLY OR INDIRECTLY ARISING OUT OF OR RELATING TO ANY USER OR THIRD PARTY, GOODS, OR SERVICES OFFERED THROUGH THIS APPLICATION.

IN NO EVENT SHALL WE OR OUR AFFILIATES BE RESPONSIBLE FOR THE ACTIONS, CONTENT OF USERS, OR THIRD PARTIES. YOU RELEASE US AND OUR AFFILIATES FROM ANY CLAIMS FOR DAMAGES, LOSSES, INJURIES, OR EXPENSES, KNOWN AND UNKNOWN, DIRECTLY OR INDIRECTLY ARISING OUT OF OR RELATING TO ANY ACTIONS OR CONTENT OF ANY USER OR THIRD PARTY.

YOU AGREE THAT IN THE EVENT YOU INCUR ANY DAMAGES, LOSSES, INJURIES, OR EXPENSES THAT DIRECTLY OR INDIRECTLY ARISE OUT OF OR RELATE TO OUR ACTS OR OMISSIONS, THE DAMAGES, LOSSES, INJURIES, OR EXPENSES, IF ANY, CAUSED TO YOU ARE NOT IRREPARABLE OR SUFFICIENT TO ENTITLE YOU TO AN INJUNCTION PREVENTING OUR USE OR EXPLOITATION OF ANY APPLICATION, SERVICE, PROPERTY, PRODUCT, OR OTHER CONTENT OWNED OR CONTROLLED BY US OR OUR AFFILIATES, AND YOU WILL HAVE NO RIGHTS TO ENJOIN OR RESTRAIN THE DEVELOPMENT, PRODUCTION, DISTRIBUTION, ADVERTISING, EXHIBITION, OR EXPLOITATION OF ANY APPLICATION, SERVICE, PROPERTY, PRODUCT, OR OTHER CONTENT OWNED OR CONTROLLED BY US OR OUR AFFILIATES.

YOUR EXCLUSIVE REMEDY AND OUR ENTIRE LIABILITY, IF ANY, FOR ANY CLAIM BY YOU FOR DAMAGES, LOSSES, INJURIES, OR EXPENSES DIRECTLY OR INDIRECTLY ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR YOUR USE OF THIS APPLICATION OR OUR SERVICES SHALL BE LIMITED TO THE AMOUNT YOU PAID US IF PAID ANY.

ANY CLAIM BROUGHT BY YOU AGAINST US OR OUR AFFILIATES MUST BE INSTITUTED WITHIN ONE YEAR AFTER THE CLAIM ACCRUES OR BE DEEMED FOREVER AND PERMANENTLY WAIVED AND BARRED.

15) Indemnification

Upon a request by us, you (and also any third party for whom you operate an account or activity on this Application) agree to defend, indemnify, and hold us and our Affiliates harmless from and against all claims for damages, losses, injuries and/or expenses, including attorneys’ fees and costs, that directly or indirectly arise from or relate to any of the following (including as a result of your activities on this Application or those activities conducted on your behalf): (i) your actual or alleged use or misuse of this Application; (ii) your actual or alleged breach of these Terms of Use; (iii) your actual or alleged violation of any third-party right, including any intellectual property right, publicity, confidentiality, property or privacy right; (iv) your actual or alleged breach of any laws, rules, including all regulatory, administrative and legislative authorities; (v) any actual or alleged misrepresentation made by you; all as amended, or any rules, regulations or guidelines promulgated thereunder, or any similar federal, state or local law, code or regulation.

You will cooperate as fully required by us in defense of any claim. We reserve the right to assume the exclusive defense and control of any claim subject to indemnification by you, and you will not, in any event, settle any claim without our prior written consent.

16) International Use

Although this Application may be accessible worldwide, we make no representation that the Content on this Application is appropriate for use by you in locations outside the state of Israel and accessing it from territories where it is illegal or prohibited. Those who choose to use the Application from locations other than the State of Israel do so at their own risk and are responsible for compliance with local laws. Any offer for any product, service, and/or information made in connection with this Application is void where prohibited.

This Application is not intended for distribution or use by any person or entity in any jurisdiction or country where such distribution or use would subject us to any registration requirements within such jurisdiction or country.

We reserve the right to limit this Application to any person, geographic area, or jurisdiction at any time and our sole discretion.

17) Termination of Use

Your Application removal from your Device will take effect immediately, and you will no longer be able to use COHESION Services. Nevertheless, Your registration and personal information will continue to be processed as per our Privacy Policy.

In our sole discretion, you agree that we may terminate or suspend your access to all or part of the Application. Your termination may occur without notice for any reason, including, without limitation, a breach of these Terms of Use. Any suspected fraudulent, abusive, or illegal activity may be grounds for terminating the Application and be referred to appropriate law enforcement authorities.

Upon termination or suspension of the Application, it will immediately cease. You acknowledge and agree that we may prevent further access to such content or this Application. We shall not be liable to you or any third party for any claims or damages arising from or relating to any termination, suspension, or other actions taken by us in connection.

Sections ‎2, ‎13 - ‎22 of these Terms of Use and your liability for any unpaid fees shall survive any termination.

18) Governing Law; Choice of Venue

These Terms of Use and your relationship with us shall be governed by the laws of the State of Israel, without regard to any law conflict principles.

You agree that all claims asserted by or against us arising out of or related to these Terms of Use shall be heard and determined solely in a court in Tel Aviv, Israel.

19) Entire Agreement

These Terms of Use and Privacy Policy constitute the entire agreement and understanding between us concerning the subject matter hereof and supersedes all prior agreements and understandings of the parties. These Terms of Use may not be altered, supplemented, or amended by the use of any other document. To the extent that anything in or associated with this Application is in conflict or inconsistent with these Terms of Use, these Terms of Use shall prevail.

20) Miscellaneous

You may not assign your rights and obligations under these Terms of Use to any third party, and any purported attempt to do so shall be null and void. We may freely assign our rights and obligations under these Terms of Use.

Suppose any part of these Terms of Use is held invalid or unenforceable. In that case, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions of these Terms of Use shall remain in full force and effect. Neither the course of conduct between us and you nor trade practice will act to modify these Terms of Use. These Terms of Use do not confer any third-party beneficiary rights.

Any failure by us to enforce or exercise any provision of these Terms of Use or related rights shall not constitute a waiver of that right or provision. No waiver of any of these Terms of Use will be deemed a further waiver of those Terms of Use or any other Terms of Use.

The headings contained in these Terms of Use are for convenience of reference only and shall not constitute a part hereof or define, limit or otherwise affect the meaning of any of the terms or provisions hereof.

We may amend any of the terms of these Terms of Use by posting the amended terms. Your continued use of the Application or your continued use of the Services after the effective date of the revised terms and conditions constitutes your acceptance of the terms.

You acknowledge and agree that the restrictions specified in these Terms of Use are not burdensome and shall not be deemed to constitute a penalty or any other action contrary to public policy but instead are only intended to cause or induce you to perform or fully and strictly comply with the terms and conditions of this Agreement.

If you want to learn more about the App or have any problems using it, please take a look at our support resources at www.sornd.com. All notices from you to us shall be in writing and shall be made via e-mail or postal mail. Notices to us must be sent to the attention of Customer Service at office@sornd.com, if by e-mail, or at COHESION, Hativat Harel 159, Karmiel, Israel, if by postal mail, return receipt requested. We may broadcast notices or messages through the Application to inform you of changes to this Application or other matters of importance, and such broadcasts shall constitute notice to you.

Any notices or communication under these Terms of Use will be deemed delivered to the party receiving such communication (1) on the delivery date if delivered personally to the party; (2) five business days after the receiving date, if sent by postal mail, return receipt requested; or (3) on the delivery date if transmitted by e-mail.




Cohesion Privacy Policy

1) Introduction

This COHESION Application is a mobile-based platform for people to communicate, advise, assist and report to others. Those communicating through COHESION may do it to share their needs, suggested solutions, thoughts, or any other information, as well as unusual, significant, or exciting events.

SoRND (referred to as "Company," "SoRND," "us," or "we”), an Israeli Company, provides a programmed application platform of COHESION (the "Application") and various related services, subject to your compliance with all this privacy policy, and notices contained or referenced herein (the “Privacy Policy"), and subject to any other written agreement between End User (referred to as "You," "Your," or "End User”) and us.

This SoRND Privacy Policy (the "Privacy Policy") applies to your use, installation, download, exploitation, and access to the Services and the Platform, as defined below.

SoRND respects the right to privacy, protects personal data, and applies appropriate organizational and technical solutions to prevent third parties' interference with Users' privacy. By using, installing, downloading, exploiting, or accessing the Services or the Platform, you accept the practices described in this Privacy Policy to the extent permitted by law.

You should not share personal information when using the Services and the Platform in case you don’t want it to be known to others. Given the social nature of some of the Services, that information may be collected, used, or disclosed by others who are part of that social interaction. Other Users and third parties may search for, see, use, or share any of the Content that you make available through the Services or the Platform. Note that once you have shared Content or made it public, that Content may be reshared by others.

Suppose you remove information that you posted to the Service and/or the Platform. In that case, copies may remain viewable in cached and archived pages of the Service and/or the Platform or if other Users or third parties using the Service and/or the Platform have copied or saved that information. In addition, some features of the Services are designed to provide others with information about the User's activity. We encourage you to consider that when using the Services and/or the Platform.

We will process your personal information and Content based on the consent you provide by using COHESION and checking the consent check box. As detailed below, you can withdraw your consent at any time by deleting it. Nevertheless, personal information and Content which already become public or anonymous will not become unpublic.

BY USING THIS APPLICATION, YOU ACCEPT THE PRIVACY POLICY. IF YOU DO NOT ACCEPT THE PRIVACY POLICY, PLEASE EXIT THIS APPLICATION NOW. YOUR REMEDY FOR THIS APPLICATION OR SERVICES DISSATISFACTION IS TO STOP USING THIS APPLICATION AND/OR THOSE PARTICULAR SERVICES.

This Privacy Policy is practical as of 11.10.22. This Privacy Policy was written in English (US). To the extent that any translated version of these Terms of Use conflicts with this English (US) version, this English (US) version controls.

2) Definitions

These will constitute definitions in these Terms of Use:

  • "User(s)" is defined as you and anyone who uses the Application. A User's use can include but is not limited to reading, browsing, or viewing Content, ordering services or goods, making a payment, or transferring information.
  • “You,” “your,” and “yourself” shall include references to the party reading, acknowledging, and agreeing to these TOU, including User.
  • "Group" is defined as you and other users organized through the Application as a closed community. Users not part of a Group will not be exposed to the communications of a Group made through the Application.
  • “SoRND,” “we,” “us,” and “our” shall include references to SoRND, whose address is Hativat Harel 159, Karmiel, Israel.
  • “Affiliate(s)” shall refer to entities controlled by, controlling, or under common control with SoRND, including our owners, parent companies, subsidiaries, affiliated companies, officers, directors, suppliers, partners, agents, sponsors, advertisers, and employees, and includes (without limitation) all parties involved in creating, producing, conducting and/or delivering this App and/or its Services.
  • "Platform," "COHESION," "Application," and "App" shall refer to SoRND's mobile-based Application platform.
  • “Service(s)” shall include services available by COHESION, but not limited to Users, and shall include providing a platform for Users to share Content publicly and to communicate with others.
  • “Content” shall include any documents, information, communication, advertisement, software, photo, video, graphics (including illustrations, images, drawings, logos), music, sound, text, and other material that Users upload and\or view on the Platform.
  • "User Profile" shall include all Content a User includes in its profile.
  • “Device” shall include references to an electronic and software device (e.g., personal computer or mobile device) enabling the User to use the Platform or Services or other communications with the SoRND or its Affiliates.
  • "Metadata" shall include technical data associated with User Content, which can, among others, describe how, when, and by whom a piece of Content was created, collected, and modified and how that Content is formatted.
  • "Chat" shall include direct communication between Users through the Application. The Chat will be exposed to other Users.

3) Purpose and Grounds for Processing Your Data

  • Users must consent to data processing when they start using the Platform. Refusal to your data use as described herein will result in the refusal to provide You certain Services of COHESION.
  • By checking the check box on the Platform, you confirm that you have read and accepted this Privacy Policy and that you grant us your consent for our use of your data as described by this Privacy Policy.
  • SoRND will rely on legal grounds to collect and process information to the extent permitted by applicable law, which may include, without limitation: honoring contractual commitments, taking steps in anticipation of entering into a contract, to fulfill legal obligations, your consent, and SoRND’s legitimate interests.

4) Collected Information

This is the information we may collect:

  • Content that You Post: You may post Content to the Service or share through COHESION, such as text, pictures, videos, the notification you send or receive, the time, frequency, and duration of your app use, and any other information that you find relevant when communicating with others.
  • Information Users Includes in Content: You have choices about the information to include in your Content, such as your Metadata associated with Content. The Information in your Content helps you get more from our Service. It is your choice whether to include sensitive information in your Content. Please do not post or add personal data to your Content that you would not want publicly available.
  • Metadata: Users can add or may have Metadata associated with or added to their Content, including a hashtag (e.g., to mark keywords when you post a photo), geotag (e.g., to mark your location to a photo), comments, or other data concerning the creation, collection or editing of Content. This way, Content is more informative or interactive. Suppose your photos are geotagged or tagged using other's APIs. In that case, your latitude and longitude will be stored with the image and accessible and searchable (e.g., through a location or map feature) if your photo is made public by you in accordance with your privacy settings. Similarly, if your documents are tagged with Metadata, the Metadata will be stored with the document and accessible and searchable.
  • Information based on your use: We also infer things about you based on your and others' activity, for example, when you share or comment on others' Content.

Information we may collect from your Devices:

  • The device and software you use, and other features of the device.
  • Actions you take on your device, for example, whether COHESION is running in the background or if your computer mouse moves (an action that may help distinguish between humans and bots).
  • Identifiers that distinguish your Device from the Devices of others.
  • Signals from your Device.
  • Information that you have shared with us through the Device settings, such as GPS location, access to the camera, photos and information about the network to which you connect your Device, including your IP address.
  • Information about the performance of COHESION on your Device.
  • Data from cookies and similar technologies.

Information that we may collect directly by us:

  • Communications between you and SoRND: For example, we may send you a Service-related pushup. Note that you may not opt-out of Service-related pushup messages.
  • Customer-Support communications: If you contact us for customer support, we may ask you to provide information about your computer/mobile Device or the issues you are trying to resolve. This information is essential to help us answer your questions. We may monitor or record your requests and responses for quality control purposes.

5) How We Use Your Data:

  • SoRND uses and processes Your Data to provide the Services. Processing aimed to fulfill the User-selected Services, communication with Users, handling complaints or declaration of withdrawal from the TOU contract for the provision of Services, as well as ensuring the security and fair use of the Services.
  • We use and process Your Data referred to in this Privacy Policy to pursue the legitimate interests of SoRND, such as: Conducting marketing by SoRND; Promotion of Services of SoRND; Tailoring the Services to the needs and convenience of Users, including personalizing Content on the Services; Statistical measurements and improvement of the Services; and other legitimate interests, whether now existing or hereinafter created.
  • In addition to some of the specific uses of information we describe in this Privacy Policy, we may use Information that SoRND receive to operate, maintain, enhance, provide, create, approve, develop, and test all of the features, functionality, and services (new or existing) found on and/or in the Services; Communicate with you; Provide security for our websites, products, software, or applications; Remember information so you will not have to re-enter it during your visit or the next time you visit the Service; Manage relationships with Users; improve Users' experience with the Services and/or the Platform by providing content recommendations and by delivering Content that SoRND hopes Users will find relevant and interesting; provide personalized Content and Information to you and others; Allow you to participate in the Services; Monitor metrics such as total number of visitors, traffic, and demographic patterns; Diagnose or fix technology problems; Automatically update the SoRND Services on your computer, mobile phone, or other Device; provide you with goods or services; Respond to your requests or questions. Prevent fraud and abuse; and understand the usage trends of SoRND’s Users, among others.

6) Analytics information and Third-Party Services

  • We may use third-party analytics tools to help us measure traffic and usage trends of the Service. We collect and use this analytics information with analytics information of other Users so that it cannot reasonably be used to identify any particular User.
  • We may use other services hosted by third parties to assist in providing our Service and help us understand our Users' use of our Service. These third-party services may collect information sent by your Device when you use the Service, such as IP address, Device type, operating system version, network information, technical characteristics of your Device or its software, language settings, and usage information relating to your use of the Service, unique or persistent identifiers associated with your Device (such as UDID, MAC address, IFA, or identifiers derived from your Device's Technical Information).
  • We require Third Parties which whom we collect information to obtain the right to collect, use and share Your information. If you wish to learn how a Third-Party processes or shares your information, read their privacy policy or contact them directly.

7) Sharing Your Data:

The information you disclosed through the Platform shared with others:

  • The Content you share when interacting: When you interact with people or businesses, they can see the Content you share with them. For example, your chosen audience can see when you: text, Chat, or share a photo or video. Moreover, In some instances, we offer settings that allow others to see when you are active on the Platform.
  • Content that others share or reshare about you: Users can see your Content and choose to share it with others in the Platform and beyond. For example, when you share a message, it can be downloaded or taken by a screenshot by others, and reshared with anyone, in, among, or outside of the Platform.
  • Public Content: Some of your information and activity will always be public, anyone can see it on the Platform, and it includes any Content you publish as well as your name, the text, photos, and videos of Your User Profile. We, you, and other Users can send this Content (like your profile picture) to anyone in, between, or outside of COHESION. Moreover, it can be viewed, accessed, reshared, or downloaded through third-party services.

8) We may Share Your Data:

  • Our Affiliates: We may share data with our Affiliates who are subject to this Privacy Policy or follow practices at least as protective as those described in this Privacy Policy. Our Affiliates may use this information to help provide, understand, and improve the Service (including by providing analytics) and Affiliates' services (including providing you with better and more relevant experiences).
  • Service Providers: We may share data with third-party that help us provide the Service to you, such as IT service providers, service technicians, or marketing agencies ("Service Providers"). Our Service Providers will be given access to your information as is reasonably necessary to provide the Service under reasonable confidentiality terms. The information shared with Service Providers may include tools like cookies, log files, device identifiers, and location data.
  • Good Faith reasons: We may share data if We believe in good faith that: such share is necessary to comply with any local, state, or federal laws or other applicable laws around the world (for example, in the country of User's residence); to respond to a court order, judicial or another government request; to warrant in the manner legally required.
  • Protected interests: We reserve the right to disclose Information that SoRND believes, in good faith, is appropriate or necessary to: protect SoRND from potential liability or fraudulent, abusive, or unlawful uses; investigate and defend ourselves against third-party claims or allegations; protect the security or integrity of the Services and/or the Platform; or protect the rights, property, or safety of SoRND, our users, or others.
  • Business Transaction: If we sell or transfer part or the whole of SoRND or our assets to another organization (e.g., in the course of a transaction like a merger, acquisition, bankruptcy, dissolution, or liquidation), your data and any other information collected through the Service may be among the items sold or transferred. The buyer or transferee will have to honor our commitments in this Privacy Policy.
  • Anonymized Data: We may remove parts of data that can identify you and share anonymized data with other parties. We may also combine data with additional information so that it is no longer associated with you and share that aggregated information.

9) When We Share Your Data:

  • If we share data that is not anonymized, to our Affiliates or Business Providers, the transfer or disclosure of the data takes place based on an agreement to entrust the processing of data between SoRND and the data recipients.
  • Agreement on entrusting the processing of data includes, in particular:
    • Obligates processors to ensure the security and confidentiality of the User’s Event Data provided or shared; and
    • Entitles SoRND to verify the Application by processors of appropriate security measures for the User's Event Data, provided or disclosed by SoRND.
  • Nevertheless, SoRND has a legal obligation to transmit or disclose Your data at the request of authorized state authorities, particularly law enforcement authorities.
  • Note that the User's data will be available to third parties based on the legitimate interest of SoRND or based on the User's voluntary consent to their processing.

10) Third-Party Services and Websites

  • The Services and/or the Platform may link to third-party websites or services. This Privacy Policy does not govern the privacy practices of those third parties. We are not responsible for the practices deployed by any websites or services linked to or from our Service, including the Information or Content contained within them. Please remember that our Privacy Policy does not apply to third-party websites or services when you use a link to go from our Service to another website or service. You're browsing and interaction on any third-party website or service, including those with a link on our website, are subject to that third party's rules and policies. In addition, you agree that we are not responsible and do not have control over any third parties you authorize to access your Content. If you use a third-party website or service and allow them to access your Content, you do so at your own risk.
  • Suppose you connect to a third-party service (such as Facebook, Instagram, LinkedIn, Google, PayPal, or another third-party application) through the Services and/or the Platform or otherwise link your User Account with a third-party service. In that case, you request and authorize us to share or grant access to information on your behalf (such as your username, the fact that your connection originated from the Services and/or the Platform, and other relevant usage and diagnostic Information) with a such third party. We may also send information about the Content you watch or your activities on the Services and/or Platform to third parties.
  • COHESION uses Google maps as a third-party service to make posting event locations easier. Google Maps features and Content are subject to the then-current versions of the: (1) Google Maps/Google Earth Additional Terms of Service at https://maps.google.com/help/terms_maps.html; and (2) Google Privacy Policy at https://www.google.com/policies/privacy/.

11) Cross borders Data transfer.

  • Your data may be stored and processed in the State of Israel or any other country in which SoRND, its Affiliates, or Service Providers maintain facilities.
  • SoRND, its Affiliates, or Service Providers may transfer Data across borders and from your country or jurisdiction to other countries or jurisdictions worldwide. If you are located in the European Union or other regions with laws governing data collection and use that may differ from Israeli law, then please note that we may transfer data to a country and jurisdiction that does not have the same data protection laws as your jurisdiction.
  • By registering for and using the Service, you consent to the transfer of data to Israel or any other country in which SoRND, its Affiliates, or Service Providers maintain facilities and the use and disclosure of information about you as described in this Privacy Policy.

12) Data Security

  • SoRND treats your data as a database with high security, stored on a server protected against remote and physical access. SoRND applies appropriate technical and organizational measures to ensure security corresponding to the risk of violating Users' rights and freedoms. However, no security precautions or systems can be completely secure. SoRND cannot ensure or warrant the security of any information you transmit to SoRND, and you do so at your own risk. SoRND cannot guarantee that such information may not be accessed, disclosed, altered, or destroyed by breach of any of our physical, technical, or managerial safeguards.
  • Please do your part to help us. You are responsible for maintaining the secrecy of your unique mobile device password and account information and controlling access to it. We are not responsible for any other organization's functionality, privacy, or security measures.

13) Data Processing Duration

SoRND processes the Event Data until there is no basis to do so. Nevertheless, SoRND may continue to process data:

  • When SoRND, its Affiliates, or its Service Providers retain information (including your account information) and Content for a commercially reasonable time for backup, archival, and/or audit purposes.
  • If User consent is granted, when the consent has been revoked, restricted, or other actions have been taken on the User's part to limit the consent; and
  • If performing a contract is necessary, for the period of the necessity; and
  • If the processing is based on a legitimate interest of the administrator, then until the User objects effectively; and
  • If based on tax and accounting purposes, until such time and to the extent in accordance with applicable regulations.

14) Your Choices About Your Data

  • You have the right to request our confirmation if we are processing your personal data. If we are, you have the right to access information about the processing, such as what personal data is processed, based on which purposes, and how long your data is stored.
  • If your data stored with us is incorrect, you have the right to request the data correction. You have the right to complete your data if it is incomplete, considering the purposes of the processing.
  • Under certain circumstances, you have the right to request the erasure of your data, e.g. if your data is no longer necessary in relation to the purpose of processing or if you withdraw your consent where processing takes place based on a consent only.
  • Under certain circumstances, you have the right to request that we send you your data in a structured, commonly used, and machine-readable format.
  • You can object to processing your data if we process your data based on legitimate interests and cannot base it on other legal grounds or if we process your data for direct marketing purposes
  • You have the right to issue a complaint with a data protection supervisory authority if you think our processing of your data does not comply with relevant laws.
  • You may update your User Profile anytime by logging in and changing your account settings. Additionally, you may delete or cancel your Account at any time.
  • Following the termination or deactivation of your use of our Services, We, our Affiliates, and Service Providers may retain data (including your account information) and Content for a commercially reasonable time for backup, archival, and/or audit purposes.

15) Children’s Privacy

  • We do not knowingly collect or solicit any information from anyone under the age of 13, or anyone under the age of 18 who has not received permission from a parent or legal guardian to use the Service and/or the Platform. We do not knowingly allow such persons to register for the Service and/or the Platform. The Service and/or the Platform and its Content are not directed at children under the age of 13 or children under 18 who have not received permission from a parent or legal guardian to use the Service and/or the Platform.
  • If we learn that we have collected personal information from a child under the age 13, or a child under the age of 18 who has not received permission from a parent or legal guardian to use the Service, we will delete that information as quickly as possible. If you are a parent or legal guardian and think either that your child under 13 has given us information or that your child under 18 has used the Service and given us information without your permission, please contact us immediately.

16) Communicate with you

  • SoRND may send pushup messages through the Application, emails, SMS, and MMS to communicate with you, including notifying you of major updates to the Services or the Platform for customer service purposes or contacting you regarding any content that you have posted to or downloaded from the Services/or Platform.
  • You may unsubscribe from our communications by clicking on the "unsubscribe link" provided in such communications or send us Your unsubscribe request in the same way we communicate with you. Nevertheless, you may not opt-out of Service-related communications, including account verification, purchase and billing confirmations, reminders, changes or updates to features of the Service, and technical and security notices.

17) Cookies Policy

This Cookie Policy applies to your use of the Services and/or the Platform, and any other websites, applications, or services provided by the Company that links to this Cookie Policy. We use certain technologies to collect information through the Services and/or the Platform. We may change this Cookie Policy at any time due to changes or additional requirements of applicable laws.

By using, installing, downloading, exploiting, and/or accessing the Services and/or the Platform, or by setting up an Account, you are accepting the information handling practices and storage and access of Cookies as described in this Cookie Policy.

  • “Cookies” are small text files that are stored on your Device. They are widely used to make websites and software applications work or to work in a better, more efficient way. They can do this because websites and software applications can read and write these files, enabling them to recognize a particular device and remember important information that will make your use of a website or software application more convenient (e.g., by remembering your user preferences).

We use the following types of Cookies: To make it easier for the User to use the Services and/or Platform; To ensure the User’s subsequent association with the Device when reconnecting to the Services and/or Platform; To create statistics that assist Company in understanding how Users use the Services and/or Platform and to improve the structure and Content; To adapt the Content of the Services and/or Platform to the User's specific preferences and to optimize the use of the Services and/or Platform to the User's individual needs; and other for other legitimate business purposes.
  • Collection and Storage of Cookies.
    • Company stores information about HTTP queries directed by Users to the server on which the Platform is hosted.
